I am one of the people who had no issues with Borderlands 2 running with High PhysX, but get big slowdowns in TPS with even just Medium PhysX. 10/26 Update: Gearbox has issued a patch that fixes this issue. There is an article on the nVidia website (right at the bottom of the page) which details more specifically what the individual PhysX levels affect, along with a performance related graph comparing nVidia and AMD hardware. this ran out of video memory issue mostly appears when PhysX Settings are. Uninstall/clean/update your NVIDIA PhysX. The differences between the settings are pretty noticeable, but especially so with liquids and explosive weapons. Turns out BL2 is a 32bit game, meaning its maxed only up to 3GB of RAM. If this does not resolve the issue, you can try uninstalling and reinstalling Borderlands 2 and the latest update.
